According to the law, the article of the association of the company and the decision of the Board of the Directors on the date of 22.05.2007, the shareholders of the company “KLEEMANN HELLAS S.A.” are invited to attend the Annual General Meeting on Monday, 18th of June in 2007 at 14:00, at the Head Offices of the company in the Industrial Area of Kilkis, in order to decide on the following items of the agenda:
ITEMS OF THE AGENDA
1. Submission and approval of the Annual Financial Statements (Group and Company) of the fiscal period 2006 and the relevant Board of Directors and Auditor’s Report
2. Release of the members of the Board of Directors and the Auditor from any liability for damages associated with the performance of their duties during the 2006 Fiscal Period.
3. Ratification of the way that profits for the fiscal year of 2006, should be distributed, and approval of the dividend distribution to the shareholders.
4. Approval of the fees of the members of the Board of the Directors for the above fiscal year of 2006, and prior approval of the fees for 2007.
5. Election of regular and substitute Auditor for the fiscal year of 2007 and determination of their fees.
6. Change of the members of the Audit Committee which supervises the Internal Audit Department
7. Issue of common bond loan, according to the provisions of the article l. 3156/2003, for the restructuring of Company’s bank loan.
8. Other matters and announcements.
The Shareholders, who wish to attend the Annual General Meeting of Shareholders either by themselves or by representative, are requested according to the Law and the Articles of Association of the company, to pledge all or part of their shares with their stockbroker or with the Central Security Depository and submit the deposit receipt and any documents of representation to the head offices of the company (Industrial Area of Kilkis – P.O. 61100, Box: 25, 08:00 – 16:00) not less than five (5) days from the day of the Annual General Meeting.
